By accessing and using SkyBooks ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These Terms & Conditions ("Terms") govern your use of the SkyBooks invoicing software and services provided by SkyBooks (Pty) Ltd ("we," "our," or "us").

2. Description of Service

SkyBooks is a cloud-based invoicing and business management software that provides:

  • Invoice creation and management
  • Client and customer management
  • Payment tracking and processing
  • Financial reporting and analytics
  • Document storage and management
  • Mobile and web access

3. User Accounts

3.1 Account Registration

To use our services, you must:

  • Be at least 18 years old or have parental consent
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized use

3.2 Account Responsibilities

You are responsible for:

  • All activities that occur under your account
  • Maintaining the confidentiality of your password
  • Ensuring your account information is current and accurate
  • Complying with all applicable laws and regulations

4. Subscription and Payment Terms

4.1 Subscription Plans

We offer various subscription plans with different features and pricing:

  • Starter Plan: R89/month - Basic invoicing features
  • Professional Plan: R150/month - Advanced features and unlimited invoices
  • Enterprise Plan: R300/month - Full feature set with dedicated support

4.2 Payment Terms

Payment terms include:

  • All fees are billed in advance on a monthly or annual basis
  • Payments are non-refundable except as required by law
  • We reserve the right to change pricing with 30 days' notice
  • Failed payments may result in service suspension

4.3 Free Trial

We offer a free trial period during which you can evaluate our services. At the end of the trial period, your account will automatically convert to a paid subscription unless cancelled.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Transmit harmful, offensive, or inappropriate content
  • Attempt to gain unauthorized access to our systems
  • Interfere with the proper functioning of the Service
  • Use the Service for illegal or fraudulent activities

SkyBooks and its original content, features, and functionality are owned by SkyBooks (Pty) Ltd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Your Rights

You retain ownership of the content you upload to our service. By using our service, you grant us a limited license to store, process, and display your content solely for the purpose of providing our services.

7.3 License to Use

We grant you a limited, non-exclusive, non-transferable license to use our software and services in accordance with these Terms.

8. Service Availability and Support

8.1 Service Uptime

We strive to maintain 99.9% uptime for our services. However, we do not guarantee uninterrupted access and may perform maintenance that temporarily affects service availability.

8.2 Support Services

Support availability varies by plan:

  • Starter: Email support during business hours
  • Professional: Priority email and chat support
  • Enterprise: 24/7 phone, email, and dedicated support

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim
  • We are not liable for indirect, incidental, or consequential damages
  • We are not liable for data loss, business interruption, or lost profits
  • Our liability is limited to the provision of our services

10. Disclaimers

Our services are provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the service will be uninterrupted or error-free
  • Warranties regarding the accuracy or completeness of any information
  • Warranties that defects will be corrected

11. Indemnification

You agree to indemnify and hold harmless SkyBooks, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you upload or transmit

12. Termination

12.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation will take effect at the end of your current billing period.

12.2 Termination by Us

We may terminate or suspend your account immediately if:

  • You violate these Terms
  • You engage in fraudulent or illegal activities
  • You fail to pay fees when due
  • We discontinue the service

12.3 Effect of Termination

Upon termination:

  • Your access to the service will cease immediately
  • We will retain your data for 30 days for recovery purposes
  • You may export your data before termination
  • All outstanding fees become immediately due

13. Data Export and Portability

Upon request, we will provide you with a copy of your data in a standard format. You are responsible for:

  • Requesting data export before account termination
  • Ensuring you have backup copies of important data
  • Complying with data protection laws when exporting data

14. Governing Law and Disputes

These Terms are governed by the laws of South Africa. Any disputes arising from these Terms or your use of our services shall be resolved through:

  1. Good faith negotiations between the parties
  2. Mediation if negotiations fail
  3. Arbitration in Johannesburg, South Africa
  4. Court proceedings as a last resort

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Displaying prominent notices in our application

Your continued use of our services after such changes constitutes acceptance of the updated Terms.

16. Severability

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SkyBooks regarding the use of our services and supersede all prior agreements and understandings.
